Upon acceptance of this reservation by a duly authorized representative of NAHA, this document becomes a binding agreement between NAHA and Exhibitor subject to terms and conditions set forth below and on the second page of this document.

NAHA’s Atlantic District Spring Aromatherapy Expo Terms and Conditions.

  1. Atlantic District Spring Aromatherapy Expo (herein called the "Expo") is to be held Friday 5-8pm, Saturday 12-8pm and Sunday 11am-5pm at the "Hanover" room, Sheraton Capital Center. The Trade Show is managed and operated by Atlantic District of NAHA (herein called the "Producer"). Exhibitors will have from 3pm-5pm on Friday, May 31st to set-up their exhibit spaces.
  2. Conditioned upon the Show Building placing the exhibit space at the disposal of the Producer, the Producer shall assign to the Exhibitor for the period of the Show the exhibit space specified herein or such other exhibit space of equivalent size and cost that the Producer in its discretion may assign. Such assignment is made for the period of this show only and does not imply that the same or similar space will be held for the Exhibitor at future shows.
  3. The Producer, by this agreement, bargains not only for the exhibition fee but also for the presence of the Exhibitor throughout the Show. Failure of the Exhibitor to exhibit throughout the run of the Show shall be considered a material breach of this agreement. It is agreed that assigned space is final and may not be changed once the Show is open, except at the request of the Producer.
  4. Exhibitor agrees that all exhibit fees must be paid to the Producer by February 15, 2002. In the event the Exhibitor fails to pay any or all fees by this date, the Producer may reassign the exhibit space assigned and specified herein to another exhibitor. In all cases, the exhibitor remains liable for payment of all fees set forth in this agreement subject only to the applicable cancellation schedule herein.
  5. The Producer makes no representations or warranties regarding the number of persons who will attend the Show, such number being impossible to predict at this time. The Producer reserves the right to change the name of the Show, the venue of the Show, and official Show suppliers.
  6. The Exhibitor agrees that Show rules and regulations are an integral part of this agreement and are incorporated herein by reference. Show rules and regulations are:
  1. The Exhibitor will not hold the Producer, the Show, or the Show Building responsible for any loss of theft of merchandise or equipment. The Producer, and its agents, neither offer nor accept responsibility for Exhibitors property of any kind.
  2. Exhibitor agrees that neither the Producer nor its agents shall be held accountable of liable, and the same are hereby released from accountability and liability for, any damage, loss, harm or injury to the person or property of the Exhibitor or Exhibitors officers, agents, employees or other representatives resulting from theft, fire, water, accident or any other cause. Exhibitor agrees to indemnify, defend, protect hold and save harmless the Producer and its officers, agents, employees, and or other representatives against and from any and all claims, demands, suits, liability, damages, loss, costs, attorney fees and expenses of whatever kind or nature including, but not limited to subrogation claims by anyone having a contract of insurance with the Exhibitor which might result from or arise out of any action or failure to act on Exhibitors port or on the part of Exhibitor’s officers, agents, employees or other representatives, including but not limited to claims of damage or loss to Show Building, property of the Exhibitor, or any of Exhibitor’s officer, agents, employees, or other representatives and further including, but not limited to, claims of damage or loss to any third party resulting from an infringement of any copyright, patent, or trademark.
  3. Exhibitor shall abide by and observe all federal, state, and local laws, ordinances, rules, and regulations, all rules of the Show Building, all union regulations, and shall obtain all necessary permits or licenses at Exhibitors cost.
  4. Exhibitor shall not sell, transfer, assign, or sublet to a third party their rights hereunder to their exhibit space or any portion thereof, unless written permission is given by the Producer.
  5. Exhibitor agrees to pay interest at the rate of 1.5% per month (18% per annum) on all past due fees. Exhibitor also agrees to pay all collections costs of the Producer, including reasonable attorney’s fees of not less than 33.3% of the unpaid balance of fees, together with costs of court incurred by the Producer in enforcing its rights hereunder.
  6. In the event that because of war, fire, strike, government order, public catastrophe, act of God or the public enemy or other cause beyond the control of the Producer, the Show or any part thereof is prevented from being held, is canceled by the Producer, or the space assigned hereunder becomes unavailable, the refund of exhibit fees to the Exhibitor shall be at the discretion of the Producer. Exhibitor shall not have any right to an accounting, review, or audit of the financial records of the Producer.
  7. If the Exhibitor desires to cancel this agreement, Exhibitor may do so only by giving notice thereof in writing went to the Producer by Certified Mail, Return Receipt Requested. In such event, Exhibitor is/will continue to be liable for 100% of the total exhibit fee unless written notice of cancellation is received by the Producer no later than 60 days prior to the opening date of the Show. In the event written notice of cancellation is received between 61 and 90 days inclusive before the opening date of the Show, Exhibitor will be liable for 50% of the total exhibit fee. This provision for liquidated and agreed upon damages is a bona fide provision and not a penalty. The date cancellation shall be the date the Producer receives the notice sent by the Exhibitor by Certified Mail, Return Receipt Requested.
  8. This agreement is deemed entered into in the State of North Carolina and governed by the laws of the State of North Carolina. The Exhibitor consents to the jurisdiction of the courts of the State of North Carolina for the resolution of any and all disputes arising out of and/or relating to this agreement.
  9. This agreement shall be binding upon the heirs, successors, and assigns, of the Exhibitor subject to the terms of this agreement regarding assignment.
  10. This writing contains the entire agreement between the parties and may not be changed orally, but only by an agreement in writing signed by a duly authorized representative of the party against whom enforcement of any waiver, change, modification, of discharge is sought.
  11. If any term or provision of this agreement shall be declared invalid or unenforceable, the remainder of the agreement shall continue in full force and effect.

The person sifning this document expressly represents and warrants to NAHA that he/she has read and accepts the Terms and Conditions and is authorized by Exhibitor to bind it to terms and conditions hereof. The signer of this document understands and agrees that he/she is personally bound and liable pursuant to the terms and conditions hereof in the event that such authority to bind the Exhibitor does not actually exist.
